3 – Price（價格）:

Both Parties hereby agree to the following Price Structure雙方同意以以下價格成交:

ex-warehouse Hong Kong US$6850.00 每噸香港出倉價美元6850.00

4 – Quantity（數量）:

Both Parties hereby agree that the Total Quantity of Copper Cathode Plates under the SPA shall be 3000MT +/- 5% spot shipment based on ex-warehouse basis Hong Kong Port. Weight for invoicing purposes shall be by the actual net weight.

買賣雙方同意，本協議下的電解銅數量為3000公噸+/- 5%，以香港碼頭出倉交易為基礎，計價重量應為實際淨重。

5– Payment Terms（支付條款）:

(A)BuyerBANK shall issue AN IRREVOCABLE,CONFIRM,CONDITIONAL PAYMENT

ORDER BANK LETTER OF UNDERTAKING(MT760)TO SELLER,S BANK.THE

SELLER,S BANK WILL ISSUE letter confirming the amount is block for these

transaction (which carry the condition for Inspection and against shipping

documents and client inspection certificate drawdown of payment will clear)

and movement cargo discharge at Hong Kong Port. Furthermore, the Seller will

arrange the Buyer to witness the shipping documents in the bank and inspection

the goods in Hong Kong port. After the Buyer witness and inspect the goods with

satisfaction in the SPA, the Seller will issue invoice and shipping documents to

the Buyer.

買方銀行應發出（MT760 ）銀行承諾書，不可撤銷，確認，付款條件，以便賣方銀行確

認合約確認的金額是做為這次交易，賣方即進行條件檢查並針對航運的文件和客戶端檢驗証

書縮編的付款方式，將明確知會貨物在香港碼頭，

6– Payment process 付款程序：

The buyer shall issue (MT760)within 3working days of contract signed by both party. Within five (5) banking days after Seller receives the copy of (MT760), the Buyer will to meet with the Seller in the Seller’s office or Seller’s bank in Hong Kong to show the original of demand bill. And the buyer will have to hand over demand bill to the Seller against the BANKletter confirming the amount is block (which carry the condition for Inspection and against shipping documents) and movement cargo discharge at Hong Kong Port or ex-warehouse. The Seller will arrange for the Buyer to witness and inspect the goods in ex-warehouse in Hong Kong or Hong Kong port. After the Buyer witness and inspect the goods with tally and according to the SPA, the Seller will issue invoice and shipping documents to the Buyer. In addition, if needed, the Seller will also arrange with the ocean vessel agent or shipping company to have the goods ship out to the Buyer destination.

買家需要在簽署合同后三天內開出（MT760）。賣方于收到(MT760)后五日內，買方將至香港賣方辦公室或賣方銀行，出示銀行保函正本交予賣方，賣方交出銀行開出之貨權証明書(包含檢驗條件和貨運文件)並在香港港口倉庫卸貨。賣方將安排買方在港口或倉庫見証檢驗過程。之後，賣方將開出收據及貨運文件給買方。如需要，賣方亦可安排船運，將貨品運往買方指定港口。

7 – Required Documents for Payment信用証付款單據:

1. Commercial invoice showing Contract No. seal No. Container(s) No. And name of carrying vessels and shipment number.

商業發票，包括合同號，封條號，集裝箱號，船隻名稱，和貨運號。

2. 3/3 of Clean On Board Ocean Bill of Lading, marked the freight prepaid .

3/3 船運清單，標明運費已付。

3. Certificate of Origin, issued by Congo Government.

剛果政府發的產地証書。

4. Export Permit Certificate from the country of original.

出口政府出口許可証。

5. The certificates, which prove the quantity and quality complying with the specification in contract, issued by SGS in the Seller loading port.

由SGS在裝貨港正式簽字發出關於質量與重量的檢測証書。

6. (The certificates, which prove the quantity and quality complying with the specification in contract, issued by SGS in the loading port at seller’s cost.)

裝貨港SGS出具的檢測報告,由賣方支付費用。

7. Packing List showing Contract No. Seal No. Container No. Gross Net weight and number of ocean bill of lading.

包裝單，包括合同號，封條號，集裝箱號，淨全重，和海運單號。

8 - Contract Price: 合同金額

1. Currency in United States Dollars only僅用美元流通

2. Contract’s value is 6,850,000.00U.S DOLLARS

合約的總價值：USD6,850,000.00美元

9 -Time Of Delivery:交貨時間

The Seller shall deliver the total quantity of goods within 5days after

Buyer’s Financial Instrument is accepted and confirmed by Seller’s Bank.

賣家須在接受並確認買家的支付工具后5天內交貨

10- Inspection Of The Goods By The Buyer: 買方檢驗貨物

Buyer will appoint his own inspectors at his cost to verify the CCIC inspection appointed and paid by Seller. The weighing and sampling shall be carried out by CCIC in accordance with standard and customary international practices.

買方可以自付費用指定自己的檢驗員見証賣方付費的CCIC檢驗，重量和抽樣由CCIC根據標準及國際慣例執行

11- Retention Of Title:置留權

The Seller’s bank shall retain the “Full Ownership Clear Title” of these Goods sold

until the goods are finally exchanged for electronic S.W.I.F.T. / T.T payment of

clean / clear / non-criminal origin bank to bank verifiable transfer in United States Dollars, free and clear of any liens, taxes or encumbrances, as per the

terms and conditions of this Sales And Purchase Contract.

在賣方銀行收到貨款前，貨權歸賣方銀行所有，賣方銀行應該保留所有議付文件。

12- Special Payments Conditions:特殊的支付條件

Goods to be paid under demand （MT760） as mentioned under “Payment” above and actual transfer of funds to be distributed simultaneously, as stated herein, with this distribution being detailed in and forming a legally binding demand bill with the specified demand （MT760） amounts being paid directly from the Buyer’s bank to the Seller’s bank accounts as designated below.

根據以上的“付款條件”買方銀行應發出（MT760 ）銀行承諾書，不可撤銷，確認，付款條件合法的約束條款支付貨款，買方銀行（MT760 ）銀行承諾書，不可撤銷，確認，付款條件指定的金額直接從買方銀行轉到賣方銀行

Both sides agreed to a fine for breach of contract 1,000,000 U.S. dollars.

雙方同意違約罰金為100萬美元。
