The coal sold under this contract shall have the following typical specifications

Clause 4. UNIT PRICE AND PRICE ADJUSTMENT

條款4. 單價和價格調整

4.1. Basic Price 基價

Subject to the following provisions and the requirements set forth below, the price of the commodity is :

根據以下條件定價：

- At the base price of US$/MT, MV(Mother Vessel) per metric ton including all export duties at loading port based on 5,800 kcal/kg, As bone dry basis (fraction prorate) of Steam coal for F.O.B Kalimantan Indonesia.

• F.O.B印度尼西亞加里曼丹省安全泊點母船船舷邊交貨，按照基價每公噸報 美金，燃煤出口價按每公斤5,800卡熱量,空干基計算（按比例分配）。

4.2. Payment Term 付款條件

• The Buyer shall open an irrevocable, transferable and divisible L/C payable 100% after 45days sight in favor of the seller covering the 60,000 MT coal which will be delivered before August 31, 2008.

• 買方將為2008年8月31日前裝運的60,000噸煤，開出不可撤銷的、可轉讓的和可分割的45天即期信用証.

• The Buyermust establish the Operative Irrevocable, Transferable Letter of Credit at Sight within seven (7) Working Days after signing this Agreement, If Buyerfails to cause the Letter of Credit required hereunder to open within the required time period specified above. Sellershall have the right in its sole discretion, rescind, cancel or terminate the contract agreement without further liability holding Buyer’sresponsible for all losses, damages and costs suffered by Seller, including without limitation, third-party claims againstBuyer.

買方須在簽約后7個銀行工作天內開出生效的不可撤銷可轉讓的即期信用証。如買方在期限內無法開出信用証。 賣方有權無責任繼續維持合約，並有權就買方的違約行為做出單方面的決定如廢除，取消或終止本合同協議。買方將有責任承擔賣方因此遭受的一切損失，傷害和費用及包括第三方對買方的索賠要求。

4.3. Performance Bond 履約擔保

After we sign the official contract, the seller will issue 2% Performance Guarantee to buyer within five working days after received the L/C.

合同正式簽約后,賣方收到銀行保函五個工作日內，賣方開出2%的銀行履約保函給買方。

Clause 5. DETERMINATION AND ADJUSTMENT OF PRICEE OF EACH SHIPMENT OF COAL AND REJECTION

條款5 每批動力煤的定價，調整及拒收

base price shall be increased /decreased by USD 0.40/0.40 per MT for each 100Kcal/kg, above

/below 5,800 Kcal/kg, fractions prorate for the steam Coal. Base on Inherent Moisture 14%.If Gross Calorific Value below5,600 kcal/kg rejected, if greater than 5,800 kcal/kg will be treated

as 5,800 kcal/kg.

總發熱量以5,800大卡/公斤為基準(每公噸)動力煤按5,800大卡/公斤計價, 每增減100大

卡/公斤,基價按每公噸增/減0.40/0.40 美元的比例結算。以內水份低於14%計算,如總發熱

量底于5,600大卡/公斤可拒收, 如超過5,800大卡/公斤將以5,800大卡/公斤計算。

5.2. If the shipment does not meet any of the chemical specifications other than GCV, the base price shall be decreased as follows:

其它化學成份如超過指針,則按如下比例扣價

5.2.1 Inherent Moisture (As Dried basis):

At the rate of USD0.20 per MT for each 1% in Excess over14%.

內水份 (按空干基計算):

按內水份不超過14%計算, 每增加1%基價每噸減少0.20美元, 按超出比例計算.

5.2.2 For excess Ash (Air Dried Bases):

At the rate of USD0.20 per MT for each 14% in excess of 1%, above 18% rejected.

灰份 (按空干基計算):

按灰份不超過14%計算,每增1%基價每噸減少0.20美元, 按實際比例結算, 如超過

18%可拒收。

5.2.3. For excess Sulfur (Air Dried Bases):

Above 1% rejected.

硫含量 (按空干基計算):

如超過1%可拒收

5.3. If the difference is owned to Buyer, Seller shall pay such amount with a notice to Buyer on the date of payment within thirty (30) days after the issue date of the Umpire Laboratory’s quality determinations; and

如果此差異由賣方造成,那麼賣方把此差額付給買方,並在付款日通知買方.此付款應在仲裁機構的質量裁決書籤發日後30日內完成.

5.4. If the difference is owned to Seller, Buyer shall pay such amount with a notice to Seller on the date of payment (A) within thirty (30) days after the date of the Umpire Laboratory’s quality determinations or (B) within twenty-one (21) days after receipt and acceptance of Seller’s New Invoice, whichever is later.

如果此差異由買方造成, 那麼買方應把此差額付給賣方, 並在付款日通知賣方. (A) 此付款應在仲裁機構的質量裁決書籤發日後30日內完成. 或(B)收到賣方更新的發票在21天內付款。
